Terms of Service

These Terms of Service (“Terms”) govern your use of corpusfunding.com (the “Site”) and any services offered through it (collectively, the “Service”) by SurgeFi AI LLC, a Florida limited liability company doing business as Corpus Funding (“Corpus Funding,” “we,” “us,” or “our”). Please read these Terms carefully. They include important information about your legal rights, including a binding governing-law and venue selection in favor of Florida and Broward County (Section 14).

These Terms work together with our Privacy Policy, which is incorporated here by reference.

Acceptance of Terms

By accessing the Site, submitting an application at corpusfunding.com/apply, communicating with us by email, SMS, or voice, or otherwise using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Site or the Service.

These Terms form a legally binding agreement between you and SurgeFi AI LLC. If you are submitting an application on behalf of a business entity, you represent that you are at least 18 years old, that you are authorized to bind that business entity to these Terms, and that the business entity also agrees to be bound.

If we modify these Terms in the future, your continued use of the Service after the modified Terms are posted constitutes acceptance of the modified Terms (see Section 15).

Description of Service

Corpus Funding is a small-business funding broker. We connect US-based small businesses (“Merchants”) with a network of third-party funding partners (“Funders”) to facilitate offers of business financing, typically merchant cash advances and similar working-capital products.

Our Service includes:

  1. The Site itself, including the marketing pages, the pre-qualifier widget on the landing page, and the application form at /apply.
  2. The intake workflow that captures application information, supporting documents, and consent.
  3. The matching and underwriting workflow that evaluates fit and recommends Funders.
  4. The communications layer that exchanges messages with you by email, SMS (where active), and voice (where active) to progress your application.
  5. The handoff to a Funder, who decides whether to extend an offer and on what terms.

Corpus Funding is not a lender. We do not provide financing ourselves. Each financing transaction is a transaction between you and a Funder, governed by the Funder’s own agreement and terms.

Eligibility

To use the Service, you must:

  1. Be a US-based business entity, or an individual operating a US-based business, in good standing under the laws of the state in which the business is organized or operates.
  2. Be at least 18 years old.
  3. Be authorized to bind the business on whose behalf you are submitting information.
  4. Not have been suspended, removed, or banned from the Service by us.
  5. Not be on any US government list of restricted or sanctioned persons or entities (including the OFAC SDN list).

We do not provide funding to consumers or for personal, family, or household purposes. The Service is intended for commercial purposes only.

We reserve the right to refuse service, terminate an application, or close any relationship at our discretion at any time. Where we do so, we will state a reason, except where doing so would compromise an investigation or where applicable law requires otherwise.

Account and Consent

We do not currently offer public account registration. Your relationship with us is established when you submit an application at /apply or respond to a tokenized link we send. Two consent records are captured at that moment:

Application processing consent (required). Before we can review your application, you must affirmatively agree to the application-processing consent on the form. The exact text shown on the form is recorded together with the IP address, user-agent, and timestamp of your submission. This consent authorizes SurgeFi AI LLC to review your business information, evaluate fit, share relevant portions with Funders, and retain records as required by applicable financial regulations.

Marketing and SMS communications consent (optional). You may, at your option, separately consent to receive marketing, follow-up, and AI-generated communications by SMS, voice, and email about products, offers, and renewal opportunities. This consent is optional and is not a condition of receiving the Service. The SMS-specific language is described in our Privacy Policy Section 5 and is the verbatim language required by our wireless carriers and the A2P 10DLC program.

You may revoke either consent at any time by following the opt-out paths described in our Privacy Policy. Revoking the application-processing consent will stop our ability to progress an active application; revoking marketing consent will stop future marketing communications but will not affect transactional communications related to an active application.

Application Process and Accuracy of Information

When you submit an application, you represent that:

  1. The information you provide is true, accurate, complete, and current.
  2. The business documents you upload, including bank statements and identification, are authentic and have not been altered.
  3. You are authorized to share the business’s information for the purposes described in our Privacy Policy.
  4. You will promptly update us if any material information changes during the application process.

We may verify the information you provide against publicly available business records (UCC filings, Secretary of State registrations, FMCSA registrations where applicable) and against information returned by the Funders you are matched with. If we discover material misrepresentations, we may terminate the application, decline to share it with Funders, and (where required) report the misrepresentation to the affected Funders and applicable authorities.

Submitting an application does not guarantee you will receive an offer of funding (see Section 9).

AI and Automated Systems Disclosure

AI Disclosure

Corpus Funding is an AI-native broker. We rely on AI systems to operate the Service.

Specifically:

  1. Application scoring and matching. AI scores your application against each Funder’s empirical approval patterns and recommends a ranked set of matches.
  2. Document processing. AI extracts data from uploaded bank statements and other documents to support underwriting.
  3. Communications. AI generates and sends some emails, SMS messages (when our SMS channel is active), and voice scripts on our behalf. Where regulation requires the recipient to be told an AI system is involved, the relevant communication says so.
  4. Operator assistance. An internal conversation agent helps our operators query our records, draft messages, and update the application pipeline.

Human review on funder submissions. A human reviews every application before it is submitted to a Funder. You are not subject to fully automated decision-making at the Funder-submission step.

Right to a human. If you would like to request that a human review a specific output, decision, or communication that materially affected your application, please contact us at the email address in Section 15. We will make a reasonable effort to provide a human re-review.

The use of AI in the Service does not change your rights or obligations under these Terms, our Privacy Policy, or applicable law.

Broker Relationship

Corpus Funding is a broker. We are not a lender, are not a Funder, and do not extend credit or advance funds.

  1. We do not make loans. Any financing offered to you is made by a Funder, not by us.
  2. We do not guarantee any offer, any rate, any term, or any approval. The decision to offer financing and the terms of any offer are made solely by the Funder.
  3. We are not a fiduciary to you and do not provide legal, tax, accounting, or investment advice. You should consult your own advisors before accepting any offer.
  4. Once you accept a Funder’s offer, your relationship for that transaction is between you and the Funder, governed by the Funder’s agreement. We are not a party to that agreement.

We exercise reasonable care in matching you with Funders we believe are likely to fund your deal. We do not assume responsibility for the conduct, policies, or solvency of any Funder, and we make no representation or warranty about any Funder.

Funder Relationships and Compensation

We may receive compensation from Funders for applications we refer and for deals that fund. This compensation may be structured as a flat fee per funded deal, a percentage of the funded amount, a residual on renewals, or another arrangement agreed between us and the Funder.

This compensation does not change the fees, rates, or terms of the offer presented to you. The Funder’s offer is the Funder’s offer; the compensation we receive is paid by the Funder out of its own economics.

Compensation arrangements with one or more Funders may create an incentive for us to recommend one Funder over another. We work to mitigate this by matching primarily on empirical fit (the Funder’s historical approval patterns for deals like yours), not on which Funder pays us most. You are under no obligation to accept any specific offer or to work with any specific Funder.

If you would like to know whether we have a compensation arrangement with a particular Funder, you may ask, and we will tell you.

No Guarantee of Funding

We do not guarantee that you will receive an offer, that you will be approved by any Funder, or that any specific terms will be available to you. Funding decisions are made by Funders, not by us, and are subject to each Funder’s underwriting criteria, current capacity, regulatory posture, and market conditions.

We do not represent that the Service will result in funding within any specific timeframe. Indicative timelines we communicate are estimates based on prior experience and are not commitments.

Past performance of the Service or of any specific Funder is not a guarantee of future results.

User Responsibilities and Prohibited Uses

When you use the Service, you agree:

  1. Not to submit information that is false, misleading, fraudulent, stolen, or that you do not have the right to submit.
  2. Not to submit information about a business or individual without authorization to do so.
  3. Not to use the Service for personal, household, or non-commercial purposes.
  4. Not to attempt to access any account, system, or data that is not yours.
  5. Not to reverse-engineer, scrape, probe, or attempt to disrupt the Site, the application form, the pre-qualifier widget, or any other surface we operate.
  6. Not to use the Service to circumvent any Funder’s underwriting requirements, to commit or facilitate fraud, or to engage in money laundering or sanctions evasion.
  7. Not to harass, abuse, or threaten our operators or any other user, by any channel.
  8. Not to use the Service in violation of any applicable law, including federal and state laws governing consumer protection, financial services, telemarketing, fair lending, and unfair or deceptive acts and practices.

Violation of these obligations is grounds for immediate termination, may void any pending application, and may be reported to applicable authorities and Funders.

Intellectual Property

The Site, the Service, and all content, software, models, designs, text, images, logos, and other materials we provide (collectively, “Corpus Funding Content”) are owned by SurgeFi AI LLC or its licensors and are protected by US and international intellectual property laws.

You may access and use the Site and the Service for the purpose of applying for funding and managing your relationship with us. You may not copy, modify, distribute, sell, lease, or create derivative works of Corpus Funding Content except as expressly permitted by these Terms or by applicable law.

“Corpus Funding,” “corpusfunding.com,” and the Corpus Funding logo are trademarks of SurgeFi AI LLC. You may not use our trademarks, logos, or branding without prior written consent.

You retain ownership of the information and documents you submit through the Service. You grant SurgeFi AI LLC a non-exclusive, worldwide, royalty-free license to use, store, process, transmit, and display that information for the purposes described in our Privacy Policy and these Terms, including for the purposes of evaluating your application, sharing it with Funders, and complying with regulatory obligations.

You also grant us permission to use anonymized and aggregated information derived from your submissions to improve the Service, calibrate our models, and conduct industry analysis. We will not, in connection with any such use, identify you, your business, or any individual.

Disclaimers and Limitation of Liability

Disclaimers. The Service is provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, whether express, implied, statutory, or otherwise. To the maximum extent permitted by applicable law, SurgeFi AI LLC disclaims all warranties, including any implied warranty of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and quiet enjoyment.

We do not warrant that the Service will be uninterrupted, secure, or error-free; that defects will be corrected; that the Site or its server is free of viruses or other harmful components; or that any specific result will be achieved through the Service. AI-generated outputs may contain inaccuracies; we encourage you to verify any material output and to contact us where any output appears to be in error.

We are not responsible for the acts, omissions, or content of any Funder, service provider, carrier, or other third party. Funder offers, terms, and decisions are the responsibility of the Funder.

Limitation of liability. To the maximum extent permitted by applicable law, in no event will SurgeFi AI LLC, its affiliates, officers, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of revenue, loss of business opportunity, loss of goodwill, or loss of data, arising out of or in connection with the Service or these Terms, even if SurgeFi AI LLC has been advised of the possibility of such damages.

In no event will the aggregate liability of SurgeFi AI LLC arising out of or in connection with the Service or these Terms exceed the greater of (a) the total fees you paid to SurgeFi AI LLC in the twelve (12) months preceding the event giving rise to the liability, or (b) one hundred US dollars ($100). Because we typically do not charge Merchants a fee for the Service, (b) will often be the applicable cap.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. The limitations in this Section 12 apply to the maximum extent permitted by law and do not affect any non-waivable statutory right you may have.

Indemnification

You agree to indemnify, defend, and hold harmless SurgeFi AI LLC, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees and costs) arising out of or related to:

  1. Your use of, or inability to use, the Service.
  2. Your violation of these Terms or our Privacy Policy.
  3. Your violation of any applicable law or any third-party right.
  4. Information, documents, or other content you submit through the Service, including any claim that such content is false, misleading, or infringes on a third party’s rights.
  5. Your acceptance of, performance under, or breach of any agreement with a Funder.
  6. Any dispute between you and any Funder, service provider, or other third party arising out of the Service.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. You will cooperate with us in asserting any available defense.

Governing Law and Jurisdiction

These Terms, and any dispute arising out of or related to these Terms or the Service, are governed by the laws of the State of Florida, without regard to its conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Any action, suit, or proceeding arising out of or related to these Terms or the Service must be brought exclusively in the state or federal courts located in Broward County, Florida. You and SurgeFi AI LLC each consent to the personal jurisdiction of those courts and waive any objection based on inconvenient forum, lack of personal jurisdiction, or improper venue.

You agree that any claim must be brought within one (1) year after the cause of action arises; otherwise, the claim is permanently barred, except where applicable law requires a longer period and the limitation cannot be waived.

If you are a government entity or other person legally prohibited from agreeing to the choice of law or venue provisions above, those provisions apply to you only to the extent permitted by applicable law, and the remaining provisions of these Terms continue to apply.

Changes to Terms and Contact

Changes to these Terms. We may revise these Terms from time to time. When we do, we will update the “Last updated” date at the top of this document and, where the change is material, provide notice through the Site or by email to Merchants with an active application. Your continued use of the Service after a revised version is posted constitutes acceptance of the revised Terms. If you do not agree to a revised version, you must stop using the Service.

Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions remain in full force and effect.

No waiver. Our failure to enforce any provision of these Terms is not a waiver of that provision or any other.

Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms to any successor in interest, including in connection with a merger, acquisition, or sale of substantially all of our assets.

Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and SurgeFi AI LLC with respect to the Service, and supersede any prior agreements or understandings, written or oral.
